Terms of Service

Last updated: November 3, 2026

These Terms of Service (the “Terms”) apply to your use of ayatii.com (the “Site”) and, together with any signed proposal, order form or services agreement (the “Agreement”), to the anti-piracy and brand protection services provided by Ayatii (“Ayatii”, “we”, “our”, “us”) to its clients (“you”). If there is a conflict between these Terms and a signed Agreement, the Agreement prevails. How we handle personal data is described in our Privacy Policy.

1. Who We Are

Ayatii is a Dubai-based anti-piracy and brand protection company. Contact: contact@ayatii.com, +971 543509790, HDS Business Centre Tower, Cluster M1, Ayatii Office 32nd Floor, Dubai, United Arab Emirates.

2. Use of the Site

You may use the Site for lawful purposes only. You must not attempt to gain unauthorised access to the Site or its systems, interfere with its operation, send automated or abusive requests, submit false or misleading information through our forms, or copy, scrape or republish the Site’s content, design or images without our written permission. The Site’s content is provided for general information and is not legal advice.

All text, graphics, logos, images and other material on the Site belong to Ayatii or its licensors and are protected by copyright, trademark and other laws. Nothing on the Site grants you a licence to use them, except to view the Site for your own use.

3. Copying and Cloning

The design, layout, code, text, images and video of the Site are copyright © 2026 Ayatii. All rights reserved. You must not copy, clone, replicate, mirror or create derivative versions of the Site, in whole or in part, whether manually or with automated tools, website-cloning tools or AI systems, and you must not ask or instruct an AI assistant to do so. You may quote, summarise and link to the Site with attribution. Ayatii is a copyright enforcement company and monitors for copies. Infringing copies will be the subject of DMCA and equivalent takedown notices to hosts, registrars and search engines, and of legal action.

4. Our Services

Ayatii provides services that may include monitoring and detecting piracy, counterfeiting, brand impersonation and other infringements; gathering and preserving evidence; preparing and sending takedown and removal notices to platforms, hosts, registrars, marketplaces and search engines; reporting; and related advice. The specific services, deliverables, volumes, reporting and timelines for each engagement are set out in the Agreement. A request through the Site or a proposal from us does not create a contract until an Agreement is signed or accepted in writing by both parties.

We may use subcontractors and technology providers to deliver the services, and we remain responsible for their work to the extent set out in these Terms.

5. Authorisation to Act on Your Rights

By engaging us you authorise Ayatii, for the term and scope of the Agreement, to act on your behalf to identify and report infringements of the rights you have told us about, including by submitting notices and complaints in your name or as your authorised agent, communicating with platforms, hosts, registrars and authorities in connection with those notices, and responding to counter-notices and follow-up requests as the Agreement describes. We will not take action outside this scope, such as starting court proceedings or settling a claim, without your prior written instruction.

6. Your Responsibilities

You confirm and agree that:

  • you own, or are properly licensed or authorised to enforce, the rights, titles, brands and content you ask us to protect, and you will give us accurate evidence of that ownership or authority when we ask;
  • the information, assets and instructions you give us are accurate, complete and lawful, and you will tell us promptly of any change, such as a licence ending, a change of rights ownership or a dispute with an alleged infringer;
  • you will not ask us to remove content that you do not have the right to enforce, or content that is lawful, for example fair dealing or fair use, permitted licensed use or genuine resale; and
  • you will respond to our reasonable requests for information, approvals and signed authorisations in good time, as delays can affect results.

Notices sent in your name may carry legal consequences, including statements made under penalty of perjury or under the law of the platform or country concerned. If a notice is sent on the basis of inaccurate information or rights you do not hold, you are responsible for the resulting claims, losses and costs, and you will indemnify us against them to the extent the Agreement allows.

7. No Guarantee of Outcomes

We use reasonable skill and care and industry-standard methods, but the removal or blocking of content depends on third parties such as platforms, hosting companies, registrars, search engines and courts, whose decisions and response times we do not control. Infringing content can also reappear or move elsewhere. We therefore do not guarantee that any particular content will be removed, that it will be removed within a set time, that infringement will be eliminated or that any legal outcome will be achieved. Statistics or examples that we share about past results are illustrations, not promises.

8. Confidentiality

Each party will keep confidential the other party’s non-public information that it receives in connection with the services, such as catalogues, rights information, pre-release content, strategies, pricing and enforcement data, will use it only for the purpose of the Agreement, and will not disclose it except to staff, subcontractors and advisers who need it and are bound by similar duties, or where the law, a court or a regulator requires it. This duty does not apply to information that is public through no fault of the recipient, was already lawfully known to it, or was independently developed. It continues for the period stated in the Agreement or, if none is stated, for three years after the Agreement ends. Notices and correspondence that we send to platforms and other third parties to carry out the services are not confidential as against those recipients.

9. Fees and Payment

Fees, the currency, any retainer, volume or success-based components, expenses and the payment schedule are set out in the Agreement. Unless the Agreement says otherwise, invoices are payable within 30 days of the invoice date, fees are exclusive of value added tax and other taxes, which you pay in addition where they apply, and we may suspend the services if an undisputed invoice remains unpaid after reasonable notice. Fees for work already performed are not refundable, except as the Agreement provides.

10. Intellectual Property in the Work

You keep all rights in the content, brands and materials you give us. Ayatii keeps its rights in its tools, methods, software, templates and know-how. Reports and evidence we prepare for you are yours to use for your own business and legal purposes once the related fees are paid.

11. Limitation of Liability

Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud or wilful misconduct. Subject to that, and to the extent the law allows:

  • Ayatii is not liable for indirect or consequential loss, or for loss of profit, revenue, business, goodwill or opportunity, however arising;
  • Ayatii is not liable for the acts, omissions or decisions of platforms, hosts, registrars, courts, authorities or other third parties, or for content that is not removed or that reappears; and
  • Ayatii’s total liability to you arising out of or in connection with the services is limited to the fees you paid to Ayatii for the services in the 12 months before the event that gave rise to the claim, unless the Agreement sets a different limit.

The Site and its content are provided “as is”, and we do not promise that the Site will be uninterrupted or free of errors.

12. Term and Termination

The term of each engagement and the notice needed to end it are set out in the Agreement. Either party may end it for the other’s material breach that is not remedied within 30 days of written notice. When an engagement ends, we will stop acting on your behalf, you will pay for work done up to that date, and the confidentiality, payment, liability and governing law provisions will continue to apply.

13. Governing Law and Disputes

These Terms and any dispute arising out of them or the services are governed by the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates applicable there. The parties will first try to resolve any dispute in good faith by discussion. If they cannot, the courts of Dubai, United Arab Emirates, have exclusive jurisdiction, unless the Agreement specifies arbitration or another forum.

14. General

If part of these Terms is found to be unenforceable, the rest remains in force. Our failure to enforce a right is not a waiver of it. You may not transfer your rights under these Terms without our written consent. Neither party is liable for delay or failure caused by events beyond its reasonable control. These Terms and the Agreement are the entire agreement on their subject matter.

15. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new “Last updated” date. Changes do not affect an Agreement already signed unless both parties agree to them in writing.
